The terms on which Saphion Limited provides the Saphion platform to customer organisations.
About these terms
These terms govern use of the Saphion platform. Saphion is owned and operated by Saphion Limited, a company registered in England. They apply to the organisation Saphion has agreed to provide the service to, and to the people that organisation authorises to use it.
Where Saphion Limited has signed a separate written agreement with your organisation, that agreement takes precedence over these terms wherever the two differ.
The service
Saphion is an AI platform for construction businesses: an AI assistant ("Saphion AI") that works with an organisation’s own information and permissions, together with configurable document-workflow products. Its current product is Risk Assessments & Method Statements, which provides a structured workspace to draft, review, finalise and retain RAMS documents, with AI-assisted drafting, a hazard library, templates and Word export.
Saphion Limited also provides separately contracted technology services. Those are governed by their own written agreement, not by these terms.
Access and accounts
Saphion is not a self-service product. There is no public sign-up, trial or checkout. Access is provisioned by Saphion for an agreed organisation, and accounts are created for named people by that organisation's administrators or by Saphion at their request.
You are responsible for the security of your account. Keep your sign-in details private and tell us immediately if you suspect unauthorised access. Where sign-in is through an identity provider, that provider's security also applies.
Your Organisation
Your Organisation is your team's environment within Saphion. Which products an Organisation can use, and how the platform is configured for it, is set by Saphion as agreed with your organisation. Administrators within your Organisation manage their own people's access.
Your content
You own everything you put into Saphion — your project details, templates, hazard library entries, and the documents you create. We process this content only to provide the service to you.
We do not sell your content, and your content is not used to train shared AI models. See our Privacy policy for how we handle personal data.
AI-assisted drafts
Saphion produces AI-assisted drafts. A draft is a starting point — not a finished, compliant, approved, certified or ready-to-use document. AI suggestions can be wrong, out of date, or unsuitable for your specific job.
Every draft must be reviewed and adapted to the actual site, task, workforce, equipment and controls by a competent person before it is issued.
Professional responsibility
Professional and safety responsibility stays with your team. Saphion does not replace your health and safety adviser, your competent person, or anyone else accountable for safety on a construction site.
We do not warrant that any document produced using Saphion meets legal, regulatory, contractual or insurer requirements. You are responsible for ensuring that every document your team issues is suitable for the work and reviewed by a competent person.
Commercial terms
Charges, payment terms, duration and notice are agreed in writing with your organisation. There is no in-product purchase, plan selection or card entry; the plan and usage information shown in the product is a read-only view of what has been agreed.
Acceptable use
You agree not to use Saphion to: break the law; represent an AI-assisted draft as a finalised, compliant, approved or certified document; bypass authentication, permissions or rate limits; or upload content you do not have the right to use.
Availability and changes
We improve the platform regularly, and features may change. Where a change materially affects how your organisation uses Saphion, we will tell the people your organisation has identified as its administrators.
Any specific availability commitment applies only if it is set out in a written agreement with your organisation.
Liability
To the maximum extent permitted by law, our total liability under these terms is limited to the charges paid for the service in the twelve months before the claim. We are not liable for indirect, incidental or consequential losses, including loss of profit or business interruption.
Nothing in these terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, or for fraud.
